1. Agreement to Terms

By accessing or using Syntiva's services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. We reserve the right to update and change these Terms at any time without notice. Continued use of the Service after any such changes constitutes your consent to such changes.

2. Description of Service

Syntiva provides AI-powered avatar generation services that allow users to create realistic digital human videos from text input. Our Service includes:

• Access to our avatar creation platform
• Text-to-speech conversion with multiple voice options
• Video generation and rendering services
• API access for developers (on applicable plans)
• Cloud storage for generated content
• Customer support services

3. Account Registration

To use certain features of the Service, you must register for an account. When you register:

Violation of this policy may result in immediate termination of your account without refund.

5. Subscription and Payment Terms

5.1 Billing

• All fees are non-refundable except as required by law
• Prices are subject to change with 30 days notice
• You authorize us to charge your payment method on a recurring basis

5.2 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds will be provided for unused time.

5.3 Usage Limits

Each subscription plan includes specific usage limits for video generation, API calls, and storage. Exceeding these limits may result in additional charges or service restrictions.

6. Intellectual Property Rights

6.1 Your Content

You retain all rights to the content you create using our Service. By using the Service, you grant Syntiva a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content solely for the purpose of providing and improving our services.

6.2 Our Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Syntiva and its licensors. The Service is protected by copyright, trademark, and other laws.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service becomes the property of Syntiva, and we may use it without compensation or attribution.

7. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

8. API Terms

If you use our API services, you additionally agree to:

• Not exceed the rate limits for your subscription tier

• Not use the API in any manner that could damage or overburden our systems

9. Disclaimers and Limitations of Liability

9.1 Service Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SYNTIVA EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

IN NO EVENT SHALL SYNTIVA, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Syntiva and its licensees and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) resulting from:

• Your use of and access to the Service
• Your violation of any term of these Terms
• Your violation of any third-party right
• Any content you submit to the Service

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive termination.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
